Grundlag for konklusion (revision):By reference to sections 86 and 112 of the Danish Financial Statements Act, the Company's Management has not prepared a cash flow statement or consolidated financial statements. However, the consolidated financial statements for the higher Group are not available for filing along with the financial statements for Ciber Danmark A/S. Consequently, the criteria for applying section 86 and 112 of the Danish Financial Statements Act are not satisfied.
In contravention of section 98 of the Danish Financial Statements Act, the Company's management has not disclosed related party transactions in the notes to the annual report.
Ciber Danmark A/S owns 50% of CMC Joint Venture Corporation, a sub-supplier to the Company. The investment in the joint venture has not been divested as part of the sale of the core activity after the financial year-end. In connection with the divestment of the Company's activities, we could not obtain sufficient and appropriate audit evidence in respect of the valuation of the investment. Therefore, we are unable to conclude if the value of the investment in the joint venture at a carrying amount of DKK 2,390 thousand at 31 December 2016 has been correctly assessed. Consequently, we are unable to quantify the impact of any changes in the carrying amount of the investment on the Company's results of operations, balance sheet and financial position at the balance sheet date. In addition, we have not obtained sufficient and appropriate audit evidence as to any liabilities resulting from the sale of the investment in the joint venture.
We conducted our audit in accordance with International Standards on Auditing (ISAs) and the additional requirements applicable in Denmark. Our responsibilities under those standards and requirements are further described in the "Auditor's responsibilities for the audit of the financial statements" section of our report. We are independent of the company in accordance with the International Ethics Standards Board for Accountants' Code of Ethics for Professional Accountants (IESBA Code) and the additional requirements applicable in Denmark, and we have fulfilled our other ethical responsibilities in accordance with these rules and requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our adverse opinion.
Konklusion (revision):In our opinion, because of the significance of the matters described in the "Basis for adverse opinion" section, the financial statements do not give a true and fair view of the financial position of the Company at 31 December 2016 or of the results of the Company's operations for the financial year 1 January - 31 December 2016 in accordance with the Danish Financial Statements Act.
Udtalelse om ledelsesberetningen (revision):Management is responsible for the Management's review.
Our opinion on the financial statements døs not cover the Management's review, and we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the Management's review and, in doing so, consider whether the Management's review is materially inconsistent with the financial statements or our knowledge obtained during the audit, or otherwise appears to be materially misstated.
Moreover, it is our responsibility to consider whether the Management's review provides the information required under the Danish Financial Statements Act.
As appears from the "Basis for adverse opinion" section, our opinion on the financial statements is modified, among other reasons, because no consolidated financial statements have been prepared. For the same reason, we conclude that the Management’s review døs not disclose information about the Group’s activities or other statutory matters.
