Today the Board of Directors and Executive Board have discussed and approved the Annual Report of Brands4kids Holding ApS for the financial year 1 January - 31 December 2023.

Principal activities
Selskabets væsentligste aktiviteter er at være holdingselskab for dattervirksomheder.
The principal activities comprise being a holding Company for subsidiaries.
Koncernens væsentligste aktiviteter består i design, udvikling, fremstilling og distribution af baby- og børnetøjskoncepter i alderen 0-14 år. Koncernen ejer de registrerede mærker: Pippi, CeLaVi, Mala, Minymo, MeToo, Creamie, Care, CareTec, Magic Kids, Color Kids, Fixoni, Nordic Label,EnFant og Huttelihut. Mærkerne Indian Blue Jeans, Rellix og Daily7 er tilføjet ultimo 2023 gennem købet af selskaberne United Brands Financial B. V. og United Brands B. V.
The Group's primary activities comprise design, development, manufacturing and distribution of babies' and children’s clothes concepts for the ages of 0-14 years. The Group owns the registered brands: Pippi, CeLaVi, Mala, Minymo, MeToo, Creamie, Care, CareTec, Magic Kids, Color Kids, Fixoni, Nordic Label, EnFant and Huttelihut. The brands Blue Jeans, Rellix and Daily7 were added at the end of 2023 through the acquisition of the companies United Brands Financial B. V. and United Brands B. V.
Koncernens brands afsættes overalt i Europa, i Canada samt USA. Den primære distributionskanal er den professionelle faghandel indenfor baby-/børne- og udstyrsforretninger, større faghandelskæder samt online aktører nationalt som internationalt. Væsentlige ændringer i aktiviteter og økonomiske forhold I starten af 2023 indgik koncernen en aftale om overtagelse af accessoires brandet Huttelihut. Selskabet Huttelihut blev officielt overtaget pr. 1. januar 2023, hvorefter selskabets aktiviteter i løbet af 1. kvartal 2023 blev flyttet til Ikast. Ultimo december 2023 har koncernen indgået en aftale om overtagelse af de to hollandske selskaber United Brands Financial B. V. og United Brands B. V. Koncernen har derved fået tilføjet mærkerne Indian Blue Jeans, Rellix og Daily7. Overtagelsen har grundet tidspunktet for aftalens indgåelse ikke haft nogen påvirkning på resultatopgørelsen, men alene balancen og pengestrømsopgørelsen. Lager og ekspedition af varer vil blive flyttet fra Rosmalen i Holland til Ikast i Danmark i løbet af 1. halvår 2024. I samme periode forventes det også, at de to hollandske selskaber fusioneres med United Brands Financial B. V., som det fortsættende selskab, men med et nyt selskabsnavn, nemlig Brands4kids B. V.
The Group's brands are sold all over Europe, in Canada and USA. The primary distribution channel is the professional specialist trade within baby/children's clothes and equipment stores, big specialist trade chains and online market players, both nationally and internationally. Significant changes in activities and the financial and economic position In the beginning of 2023 the Group entered an agreement of acquiring the accessories brand Huttelihut. The company Huttelihut was officially acquired at 1 January 2023, after which the company's activities were relocated to the town of Ikast, Denmark, during Q1 2023. At the end of December 2023 the Group entered an agreement of acquiring the two Dutch companies United Brands Financial B. V. and United Brands B. V. Thereby, the brands Indian Blue Jeans, Rellix and Daily7 were added to the Group. Due to the time of the conclusion of the agreement, the acquisition did not have any impact on the income statement, but only the balance sheet and the cash flow statement. Inventories and dispatch of goods will be relo-cated from Rosmalen in the Netherlands to Ikast in Denmark during Q1 2024. In the same period, it is also expected that the two Dutch companies will be merged, and United Brands Financial B. V. will be the surviving company, however with a new company name: Brands4kids B. V.
