Grundlag for konklusion (revision):Basis for opinion We conducted our audit in accordance with Inter-national Standards on Auditing (ISAs) and the ad-ditional requirements applicable in Denmark. Our responsibilities under those standards and re-quirements are further described in the "Audi-tor’s responsibilities for the audit of the consoli-dated financial statements and the parent finan-cal statements" section of this auditor’s report. We are independent of the Group in accordance with the International Ethics Standards Board for Accountants’ International Code of Ethics for Pro-fessional Accountants (IESBA Code) and the addi-tional ethical requirements applicable in Den-mark, and we have fulfilled our other ethical re-sponsibilities in accordance with these require-ments and the IESBA Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. To the best of our knowledge and belief, we have not provided any prohibited non-audit services asreferred to in Article 5(1) of Regulation (EU) No 537/2014. We were appointed auditors of TDC Holding A/S for the first time on 29. 04. 2021 for the financial year 2021.
Konklusion (revision):Opinion We have audited the consolidated financial state-ments and the parent financial statements of TDCHolding A/S for the financial year 01. 01. 2021 - 31. 12. 2021, which comprise the income state-ment, statement of comprehensive income, bal-ance sheet, statement of changes in equity, cash flow statement and notes, including a summary of significant accounting policies, for the Group as well as for the Parent. The consolidated finan-cial statements and the parent financial state-ments are prepared in accordance with Interna-tional Financial Reporting Standards as adopted by the EU and additional requirements of the Danish Financial Statements Act. In our opinion, the consolidated financial state-ments and the parent financial statements give a true and fair view of the Group’s and the Parent’s financial position at 31. 12. 2021, and of the re-sults of their operations and cash flows for the financial year 01. 01. 2021 - 31. 12. 2021 in ac-cordance with International Financial Reporting Standards as adopted by the EU and additional requirements of the Danish Financial Statements Act. Our opinion is consistent with our audit book comments issued to the Audit Committee and theBoard of Directors.
Udtalelse om ledelsesberetningen (revision):Statement on the management review Management is responsible for the management commentary. Our opinion on the consolidated financial state-ments and the parent financial statements døs not cover the management commentary, and we do not express any form of assurance conclusion thereon. In connection with our audit of the consolidated financial statements and the parent financial statements, our responsibility is to read the man-agement commentary and, in doing so, consider whether the management commentary is materi-ally inconsistent with the consolidated financial statements and the parent financial statements or our knowledge obtained in the audit or other-wise appears to be materially misstated. Moreover, it is our responsibility to consider whether the management commentary provides the information required under the Danish Finan-cial Statements Act. Based on the work we have performed, we con-clude that the management commentary is in ac-cordance with the consolidated financial state-ments and the parent financial statements and has been prepared in accordance with the re-quirements of the Danish Financial Statements Act. We did not identify any material misstate-ment of the management commentary.
